1. Acceptance of these terms
ChatterSift (the “Service”) is provided by Flowy, LLC (“Flowy,” “we,” “us” or “our”). By accessing the Service, creating an account, or clicking a button indicating your acceptance, you (“you” or the “Customer”) agree to these Terms of Service (the “Terms”) and to our Privacy Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.
2. The service
ChatterSift monitors public posts and comments on Reddit for keywords, phrases, and patterns that you configure, and delivers matches to you via email and in-product views. The Service may include hosted infrastructure, dashboards, alerts, integrations, and related features that we add, change, or remove from time to time.
Some features may be made available under separate plans or as part of an open-source distribution licensed under the MIT License. Where the Service incorporates open-source components, the applicable open-source licenses govern those components.
3. Accounts & eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You must provide accurate registration information and keep it current. You are responsible for the activity that occurs under your account and for safeguarding your credentials.
You will notify us promptly if you suspect any unauthorized use of your account. We may suspend or terminate accounts that we reasonably believe are compromised, inactive, or in violation of these Terms.
4. Plans, fees & billing
4.1 Subscriptions
Paid features are sold on a subscription basis. Fees, billing cycles, and feature limits for each plan are described on our pricing page or in an applicable order form. Unless otherwise stated, subscriptions renew automatically at the end of each billing period until you cancel.
4.2 Payment
You authorize us, or our payment processors, to charge your chosen payment method for all fees due. Fees are stated in US dollars and are exclusive of taxes, which you are responsible for. Except as required by law or expressly stated otherwise, fees are non-refundable.
4.3 Cancellation
You may cancel a paid subscription at any time from your account. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We may change pricing or plan structure on at least thirty (30) days’ notice; price changes apply to the following renewal.
5. Acceptable use
You agree not to, and not to permit any third party to:
- Use the Service to violate applicable laws, regulations, or third-party rights, including Reddit’s terms or API policies;
- Monitor, surveil, or build profiles of individuals in a manner that would violate privacy or anti-stalking laws;
- Use the Service to harass, dox, defame, or threaten any person, or to incite violence;
- Send unsolicited commercial messages (spam) or use match data to target individuals with deceptive outreach;
- Reverse engineer, decompile, or attempt to derive source code from non-open-source portions of the Service;
- Resell, sublicense, or expose the Service to third parties except as expressly permitted;
- Interfere with or disrupt the Service, our infrastructure, or other customers’ use, including by exceeding documented rate limits;
- Use the Service to develop a competing product or to benchmark it without our written consent.
We may suspend the Service or remove content that we reasonably believe violates this section, with or without notice.
6. Customer content & configurations
“Customer Content” means the keywords, subreddit lists, alert configurations, integration settings, and other inputs you provide to the Service, as well as the match results derived from public Reddit data based on those inputs.
You retain all rights in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Customer Content solely to operate and improve the Service, to provide support, to enforce these Terms, and to comply with law.
You are responsible for your Customer Content and for ensuring that your collection and use of match data complies with applicable law, including any consent or notice requirements where you operate.
7. Reddit data & third parties
The Service ingests publicly available content from Reddit. Reddit and its content are third-party services and are not controlled by us. Your use of Reddit-originated content remains subject to Reddit’s own terms, content policy, and intellectual property rights. We make no warranty about the availability, accuracy, completeness, or timeliness of data sourced from Reddit or any other third-party platform we may support.
If Reddit or another upstream provider restricts, suspends, or changes its API or terms in a way that affects the Service, we may modify or discontinue affected features without liability to you.
8. Our intellectual property
We retain all right, title, and interest in and to the Service, including the software, models, user interfaces, designs, trademarks, and documentation, other than the limited rights expressly granted to you. Components released under an open-source license are governed by the terms of that license.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms.
9. Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
10. Privacy & security
Our handling of personal data is described in the Privacy Policy. We maintain reasonable administrative, technical, and physical safeguards designed to protect Customer Content, but no service is perfectly secure and you use the Service at your own risk.
11. Disclaimer of warranties
The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will detect every match, deliver every alert, or be free of false positives.
12. Limitation of liability
To the maximum extent permitted by law, in no event will Flowy, LLC or its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunity, arising out of or relating to the Service or these Terms, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
13. Indemnification
You will defend, indemnify, and hold harmless Flowy, LLC and its affiliates from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (i) your Customer Content, (ii) your use of the Service in violation of these Terms or applicable law, or (iii) your violation of any third-party rights, including Reddit’s terms or any individual’s privacy or publicity rights.
14. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, if your use poses a security or legal risk, or if we are required to do so by law. On termination, your right to use the Service ends, and we may delete Customer Content after a reasonable retention period, except as required to be retained by law.
Sections that by their nature should survive termination will survive, including Sections 6 (Customer Content), 8 (IP), 9 (Feedback), 11 (Disclaimer), 12 (Liability), 13 (Indemnification), 14 (Termination), and 15 (Governing law & disputes).
15. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial.
16. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by email or in-product notice, before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Miscellaneous
These Terms, together with any order form or plan terms, are the entire agreement between you and Flowy, LLC regarding the Service and supersede prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
